Terms & Conditions

These Terms and Conditions (“Agreement”) govern all transactions, service engagements, and website use involving Eagle Drilling Fluids, LLC (“Eagle Drilling Fluids,” “Eagle,” or “Company”) and its clients (“Client” or “Customer”).
By engaging Eagle Drilling Fluids’ services, requesting information, or using our website, Client agrees to the following terms:

 

 

1. Compliance with Laws

Client warrants that all requests, communications, and activities involving Eagle Drilling Fluids’ services will be conducted in good faith and in full compliance with all applicable federal, state, and local laws, statutes, and regulations, including those relating to environmental safety, oil and gas operations, and data use.

 

 

2. Limitation of Liability

Eagle Drilling Fluids takes reasonable care in providing its products, technical recommendations, and engineering services. However, due to the variable nature of drilling conditions and data interpretation, Eagle does not guarantee or warrant that its products, fluids, or services will achieve any specific results or performance outcomes.

Eagle Drilling Fluids does not assume liability for the completeness, accuracy, or adequacy of information provided for any particular purpose. Under no circumstances shall Eagle Drilling Fluids be liable to Client or third parties for incidental, special, consequential, or exemplary damages — including but not limited to loss of profits, downtime, equipment damage, or business interruption.

Eagle Drilling Fluids’ total liability for any claim related to its services shall not exceed the total amount paid by Client for the specific service or product giving rise to the claim.

Client remains responsible for compliance with all operational, environmental, and safety laws relevant to the use of Eagle Drilling Fluids’ products or recommendations.

 

 

3. Use of Technical Information and Reports

All technical reports, recommendations, and fluid formulations provided by Eagle Drilling Fluids are intended for use solely by the Client for its internal drilling operations.
Such materials may not be duplicated, redistributed, or disclosed to any third party without Eagle’s prior written consent.

Eagle Drilling Fluids reserves the right to include proprietary identifiers in its reports and formulations to prevent unauthorized use or reproduction.

 

 

4. Indemnification and Governing Law

Client shall indemnify, defend, and hold harmless Eagle Drilling Fluids, LLC, its officers, employees, and agents, from and against any and all claims, damages, losses, costs, and expenses (including attorney’s fees) arising out of or related to Client’s use or misuse of Eagle Drilling Fluids’ products, services, or recommendations — including claims of negligence by Eagle Drilling Fluids.

All transactions and services are entered into in Oklahoma County, Oklahoma, and are governed by the laws of the State of Oklahoma, without giving effect to principles of conflict of laws.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the State District Courts of Oklahoma County, Oklahoma.
If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
Failure by Eagle Drilling Fluids to enforce any provision shall not constitute a waiver of its rights.

 

 

5. Service Scope and Intended Use

Client acknowledges that Eagle Drilling Fluids’ products, formulations, and data are designed for drilling fluid management and engineering applications only.


They are not intended for unrelated purposes, including evaluation of environmental or personal creditworthiness, or for any other use not directly related to drilling operations.

Eagle Drilling Fluids does not provide services governed by the Fair Credit Reporting Act (FCRA) or any comparable legislation.

 

 

6. Fair Information and Responsible Use

Client agrees that any use of Eagle Drilling Fluids’ services or data will:

  • Comply with all applicable federal, state, and local regulations;
     

  • Not be used for misleading, unsafe, or unlawful purposes; and
     

  • Not involve the creation, distribution, or communication of material that is pornographic, fraudulent, or otherwise prohibited by law.
     

Upon Eagle’s request, Client shall provide reasonable information or documentation to demonstrate compliance with these standards.

 

 

7. General Provisions

Eagle Drilling Fluids reserves the right to revise or amend these Terms and Conditions at any time by posting the updated version on its website. Continued engagement with Eagle Drilling Fluids’ services constitutes acceptance of any such revisions.

No agent, employee, or representative of Eagle Drilling Fluids has authority to alter or waive any provision of this Agreement except by a written document signed by an authorized officer of the Company.
